General terms and conditions for SprogNet ApS
The general terms and conditions apply to any relationship between SprogNet ApS and the customer, unless otherwise expressly stated in a separate written agreement.
1. Services
SprogNet ApS provides translation solutions for businesses in the form of text translations between Danish/English/German and most European and Asian languages. SprogNet ApS reserves the right to reject assignments whose content or form is outside the general perception of good ethics and morals, or where the quality or scope of the source text or the deadline of the assignment means that the translation cannot be expected to be of suitable quality. SprogNet ApS undertakes to treat all information about the customer confidentially. 2. Ordering
Orders are placed when the customer has accepted the offer from SprogNet ApS. Acceptance can be made by post, e-mail or telephone.
3. prices
All prices are exclusive of VAT. The price for the assignment in question is stated in a written offer sent by SprogNet ApS by post or e-mail, which is valid for 8 days after submission of the offer. In special cases, the offer may be valid for a longer period if this is stated on the offer. The offer can be revoked at any time as long as the customer’s acceptance has not come to SprogNet ApS’ knowledge.
4. Terms of payment
Payment to SprogNet ApS must be made net 8 days from the invoice date unless otherwise agreed in writing. If payment is made later than this, SprogNet ApS is entitled to add interest in accordance with the Danish Interest Act. Interest Act provisions. For larger assignments or assignments that extend over a longer period of time, SprogNet ApS reserves the right to a prior credit assessment of the customer. Prepayment, installment payment or collateral may be required.
5. Form of delivery
SprogNet ApS delivers the translated text in the format agreed with the customer. This will usually be in an electronic file format sent by e-mail. 6 Delivery time
SprogNet ApS will deliver the translated text to the customer at the time agreed with the customer. SprogNet ApS is not liable for delays that cannot be attributed to a lack of diligence on the part of SprogNet ApS or for events that can be described as force majeure. Delivery at the agreed time presupposes that all material required for the translation is available when the order is placed. 7. Changes
If the customer changes the order after the order has been submitted, SprogNet ApS is not obliged to comply with the agreed delivery time and price. In the event of changes, the customer is obliged to cover, in addition to the amount stated on the offer, any additional costs incurred by SprogNet ApS. 8. Cancellation
If the order is canceled in whole or in part after the order has been sent to SprogNet ApS, the customer is obligated to cover, in addition to the amount stated on the offer, any additional costs incurred by SprogNet ApS. 9. Complaints
Complaints must be made to SprogNet ApS in writing and without undue delay from the time when the customer becomes or should have become aware of errors and defects in the delivered service, but no later than 14 days after delivery. 10. Liability
SprogNet ApS’ liability is limited to the payment amount, unless otherwise agreed in writing. SprogNet ApS cannot accept liability for losses caused by circumstances beyond SprogNet ApS’ control, such as errors in the customer’s source text, incorrect information in the source text, content that may be offensive, etc.
